Terms of Service (TOS)
Kings Live OTT - Operated by Shaniverse Innovations Pvt Ltd

1. Introduction
Welcome to Kings Live OTT ("Platform"), operated and owned by Shaniverse Innovations Pvt Ltd, a company incorporated under the Companies Act, 2013 ("Company", "We", "Our"). By accessing, registering, or using Kings Live OTT ("Services"), you ("User", "Creator", "You") agree to these Terms of Service ("Terms"). If you do not agree, discontinue the Services immediately.
2. Definitions
- "Creator" – An individual/entity submitting content for streaming on Kings Live OTT.
- "User" – A viewer or customer accessing or purchasing content on the Platform.
- "Content" – Films, short films, series, videos, posters, trailers, or metadata submitted for publishing.
- "Ticket Price" – The viewing fee set by the Creator for their content.
- "Revenue Share" – The distribution of net earnings between the Creator and the Platform.
- "Registration Fee" – A non-refundable fee charged to onboard a Creator.
- "Net Revenue" – Revenue received after deduction of taxes, payment gateway charges, refunds, and bank fees.
3. Eligibility
To use Kings Live OTT:
- You must be 18 years of age or older
- You must have full rights and authority to upload and distribute your content
- You must comply with Indian copyright and digital content laws
- You must complete mandatory KYC as required
4. Use of the Platform
Creators and Users agree not to:
- Submit illegal, pornographic, copyrighted, defamatory, or harmful content
- Upload content without sufficient rights or permissions
- Attempt to hack, reverse engineer, or disrupt Platform operations
- Engage in fraudulent transactions or manipulation of views/tickets
- Misuse the Platform for political, hateful, or extremist activities
Violation may result in immediate account termination and legal action.
5. Platform Fees
5.1 Content Review Fee
A one-time, non-refundable fee of ₹499 is charged when submitting your film for review. This covers professional content review, technical quality assessment, compliance verification, and administrative processing.
5.2 Platform Distribution License (PDL)
A 1-year licensing fee charged during creator registration (after film approval). Pricing varies by content type:
- Feature Films (90+ mins): ₹15,000
- Documentaries: ₹10,000
- Stand-Up Comedy: ₹7,500
- Short Films (10-40 mins): ₹5,000
- Music Videos/Films: ₹5,000
- Experimental/Art Films: ₹2,500
- Micro Movies (Under 10 mins): ₹2,400
- Student Films (up to 30 mins): ₹5,000
- Web Series Episodes (30-40 mins): ₹5,000 per episode
- Web Series Episodes (40+ mins): ₹6,000 per episode
This covers cloud hosting & storage, streaming infrastructure & CDN, platform maintenance, creator dashboard & analytics, payment processing, and technical support. Both fees are non-refundable under any circumstances, including account closure, content removal, or termination. The PDL may be waived for select creators as part of our content partnership program.
5.3 Contract Terms
Upon approval, creators enter into a 1-year licensing agreement with KingsLive. After 1 year, creators may choose to renew the contract or end the agreement. If not renewed, content will be removed from the platform at the end of the contract period. KingsLive operates as an online theatre - similar to how producers pay cinema houses for screen time, creators pay KingsLive for online platform space. We provide the venue, you showcase your content.
6. Content Submission & Review
Creators must submit:
- Final video file via Google Drive link (MP4/MOV format, 720p or 1080p)
- Trailer (optional but recommended)
- High-resolution poster image
- Synopsis, description, and metadata
- Language, genre, and category
- Copyright ownership confirmations
- All required legal documents and permissions
Platform Rights: We review all submissions within 48 hours. We may approve, reject, or request modifications to maintain quality and compliance. We may remove content for technical, legal, or policy-related reasons. We may modify metadata for accuracy (after notifying the creator). Creators cannot directly upload to the Platform. All uploads are processed by Shaniverse Innovations Pvt Ltd after approval.
7. Content Ownership & Licensing
7.1 Ownership: Creators retain full copyright over their content.
7.2 License to Platform: By submitting content, the Creator grants the Company a non-exclusive, worldwide, revocable license to: upload, encode, host, and stream the content; display posters and trailers; promote the content on the Platform and social media; monetize and distribute content via the Ticket Price set by the Creator. This license remains valid until content is removed as per Section 12.
8. Ticket Pricing & Monetization Options
Creators have two monetization options:
Option 1: Paid Content (Ticket-based)
Creators can set their own Ticket Price within the acceptable range (₹10-₹199) defined by the Platform. The Platform may suggest an optimal price based on market data, but the final decision remains with the Creator. Revenue is shared 70% (Creator) / 30% (Platform) as per Section 9.
Option 2: Free Content (Ad-supported)
Creators can choose to make their content free for viewers. In this case, the Platform will display advertisements during content playback. Ad revenue is shared 50% (Creator) / 50% (Platform). Creators can switch between paid and free models subject to Platform approval and a 30-day notice period.
9. Revenue Distribution
For Paid Content (Ticket-based):
Creator Share: 70% of Net Revenue
Platform Share: 30% of Net Revenue
For Free Content (Ad-supported):
Creator Share: 50% of Ad Revenue
Platform Share: 50% of Ad Revenue
Net Revenue is calculated after deducting: payment gateway charges (2-3%), applicable taxes (GST, TDS), refunds and chargebacks, and bank transfer fees. Ad Revenue is calculated based on impressions, clicks, and video completion rates from advertisements displayed during free content. Shaniverse Innovations Pvt Ltd will process all payments on behalf of Kings Live OTT.
10. Payments & Payout Terms
- Payouts are processed monthly on the 5th of each month
- Minimum payout threshold: ₹1,000
- Payments will be made to the Creator's verified bank account or UPI
- Applicable TDS, GST, or statutory deductions will be made as per Indian tax laws
- Creators must provide valid PAN and GST details (if applicable) for tax compliance
- Payouts may be temporarily held in cases of disputes, fraud, chargebacks, or incomplete KYC
- Refunds issued to Users will be deducted from the Creator's revenue share
- Payment gateway charges (typically 2-3%) are deducted before revenue split
11. Refund Policy
Refunds for Users are issued only when: duplicate payments occur, genuine technical failure prevents playback, or a fraudulent transaction is identified. Refund decisions are made solely by the Platform. Refunded transactions will not be payable to the Creator.
12. Content Removal Policy
Creators may request to remove their content at any time by providing a 7-day written notice.
Key Points:
- No additional fee is charged for content removal
- The Content Review Fee (₹499) and Platform Distribution License (varies by content type) are non-refundable and remain non-refundable upon content removal
- Content will stay live during the notice period
- Earnings generated before removal will be paid to the Creator as per the payout cycle
- Platform may instantly remove content in case of legal violations
13. Platform Rights
The Company may:
- Modify or discontinue parts of the Platform
- Suspend or terminate accounts violating policies
- Resolve disputes at its sole discretion
- Take down content without notice if required by law
- Introduce new features, fees, or updates to maintain platform integrity
14. Limitation of Liability
The Platform and Company shall not be liable for:
- Loss of viewership or revenue
- Server downtime or technical disruptions
- Payment gateway failures
- Copyright disputes arising from Creator submissions
- Losses due to user behaviour or piracy
- Any indirect, incidental, or consequential damages
Company's maximum liability is limited to ₹1,000 or the amount paid by the User in the last 30 days, whichever is lower.
15. Indemnification
Creators agree to indemnify and hold harmless the Platform and Company against:
- Copyright infringement claims
- Legal disputes related to the content
- Losses caused by false declarations
- Any penalties from misuse of third-party materials
- Any damages arising from illegal or harmful content submitted
16. Governing Law & Jurisdiction
These Terms are governed by the laws of India. All disputes arising out of these Terms shall be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra.
17. Updates to Terms
The Platform may revise these Terms at any time. Continued use of the Platform indicates acceptance of updated Terms.
