PARTIES TO THE AGREEMENT Platform Owner & Operator: Shaniverse Innovations Private Limited ("Company") Address: Sr no 53A/3 Plot no 10, Khegokarn (Sangamnagar), Satara, Maharashtra 415002, India Director: Mansurali Taiyyab Mulla (DIN: 11242444) Platform: Kings Live, a digital content streaming OTT platform operated by the Company ("Platform") Creator/Producer: [CREATOR/PRODUCER FULL NAME], with address at [ADDRESS] ("Creator") Collectively referred to as the "Parties. " 2. PURPOSE & MANDATORY ACCEPTANCE ON LANDING PAGE This document serves as a legally binding No Objection Certicate and Content Ownership Agreement wherein: The Creator certies full ownership and exclusive control of all content to be uploaded, streamed, or distributed on the Kings Live Platform ("Content") Shaniverse Innovations Private Limited acknowledges receipt of this NOC and hereby records that it has NO OBJECTION to the Creator using the Platform's services for content distribution The Creator assumes full legal responsibility for all content created, produced, or distributed through Kings Live Platform Shaniverse Innovations Private Limited disclaims all liability for content legality, authenticity, and third-party claims 2.1 Mandatory Acceptance Process This Agreement is displayed on the Kings Live Platform Landing Page for Creator Registration. The following process is mandatory: Before ANY content can be uploaded to Kings Live Platform, the Creator MUST read and explicitly accept all terms of this No Objection Certicate The Creator must click "I Accept & Agree to All Terms" button on the landing page Acceptance is recorded electronically with timestamp, IP address, creator name, email, and digital signature Only AFTER acceptance can the Creator proceed to upload content Content uploaded without acceptance of this Agreement shall be immediately removed and the Creator account suspended The Platform maintains a digital record of all creator acceptances for legal audit and regulatory compliance 2.2 Content Review Process After Acceptance After the Creator accepts this Agreement: The Creator may upload content to a "Pending Review" section Content is reviewed by the Kings Live Moderation Team for compliance with Community Guidelines and this Agreement Moderation typically completes within 48-72 hours Content is approved for publication ONLY if it passes all moderation checks If content is rejected, the Creator receives detailed explanation of violation(s) Rejected content may be resubmitted after corrections, OR permanently deleted at Creator's discretion Approved content is published and made visible to Kings Live users 2.3 Digital Record & Admin Download Upon Creator acceptance and approval of content: The Kings Live Admin Dashboard records the complete acceptance transaction Admin can access and download the signed Agreement as a PDF at any time PDF includes: Creator name, acceptance timestamp, content submission details, moderation status, admin signature, and platform seal PDF serves as legally binding proof of Creator's acceptance and understanding of all terms Admin can generate individual creator NOCs or batch reports for regulatory compliance All downloaded PDFs are archived in the Platform's secure compliance database 3. CONTENT OWNERSHIP & ORIGINALITY CERTIFICATION 3.1 Original Content Representation The Creator hereby represents and warrants that: All Content is original, authentic, and created solely by the Creator or with proper authorization from all co-creators The Content has not been previously published, distributed, or licensed to any other party without written consent The Creator possesses the exclusive right to reproduce, distribute, and monetize the Content in all formats and on all platforms No portion of the Content has been copied, adapted, or derived from third-party sources without explicit permission 3.2 Intellectual Property Rights The Creator warrants that: The Creator owns all intellectual property rights, including but not limited to copyrights, trademarks, patents, designs, and moral rights associated with the Content The Content does not violate, infringe, or breach any third-party intellectual property rights No music, images, scripts, logos, brands, artwork, footage, or other protected material in the Content belongs to third parties without proper licensing, written permission, or Creative Commons attribution All third-party materials used are either licensed through legitimate channels (YouTube Audio Library, Spotify, Adobe Stock, Getty Images, etc.) or are in the public domain with proper documentation 3.3 No Conicts or Encumbrances The Creator certies that: The Content is free from any claims, liens, encumbrances, or competing rights No other party has ownership rights, control, or benecial interest in the Content The Creator has not assigned, pledged, or otherwise encumbered the Content to any other party or platform The Creator has not granted exclusive distribution rights to any competing platform or service 4. CREATOR'S LEGAL LIABILITY & INDEMNIFICATION 4.1 Full Responsibility of Creator The Creator accepts full legal responsibility for: The authenticity, accuracy, originality, and legality of all Content Compliance with all applicable laws, regulations, guidelines, and industry standards Obtaining all necessary permissions, licenses, clearances, and consents for any third-party material, music, footage, images, or personas used in the Content Obtaining written consent from all individuals appearing in or identiable from the Content Any claims, lawsuits, damages, nes, or legal proceedings arising from the Content Any regulatory action, government notice, or law enforcement inquiry related to the Content Any civil, criminal, or administrative liability connected to the Content 4.2 Creator's Indemnication Obligation The Creator hereby irrevocably agrees to indemnify, defend, and hold harmless: Shaniverse Innovations Private Limited Kings Live OTT Platform All owners, shareholders, ocers, directors, employees, agents, representatives, and successors ...from and against any and all claims, suits, actions, damages, liabilities, costs, and expenses (including reasonable attorney fees, court costs, and expert witnesses) arising out of or resulting from: (a) Intellectual Property Infringement: Any allegation that the Content infringes, violates, or breaches any third-party copyright, trademark, patent, design right, or moral right Unauthorized use of copyrighted music, movies, TV shows, artwork, photographs, or other protected material Violation of personality rights, right of publicity, or right of attribution Any claim of plagiarism or unauthorized adaptation (b) Content Legality & Compliance: Any claim that the Content contains defamatory, libelous, slanderous, obscene, profane, oensive, or unlawful material Content promoting illegal activities, violence, discrimination, hatred, terrorism, or harm to any individual or group False, misleading, deceptive, or fraudulent claims or statements in the Content Violation of laws regarding indecency, obscenity, child safety, or public morality Content violating sectarian harmony, national security, or public order (c) Privacy & Data Protection: Violation of privacy rights, condentiality rights, or personal data protection laws Unauthorized disclosure of personal information, trade secrets, or condential business information Breach of GDPR, India's Digital Personal Data Protection Act, or other data protection laws Recording or distribution of private conversations without consent (d) Breach of Agreement: Breach of any representation, warranty, certication, or obligation made by the Creator in this Agreement Non-compliance with Platform policies, Community Guidelines, or Upload Standards Violation of applicable laws, regulations, or court orders (e) Creator's Violation of Law: Any violation of Indian law, state law, or applicable international laws Tax evasion, non-compliance with GST/Income Tax regulations, or nancial fraud Violation of labor laws, consumer protection laws, or advertising standards (f) Financial & Reputational Harm: Any nancial losses incurred by Shaniverse Innovations Private Limited or Kings Live Regulatory penalties, nes, or sanctions imposed on the Platform due to Creator's Content Reputational damage, loss of subscribers, loss of advertiser partnerships, or loss of brand value Platform suspension by regulators, payment processors, or third-party services Withdrawal of services by advertisers, investors, or content delivery networks (g) Third-Party Claims & Legal Actions: Any consumer complaints, regulatory actions, or government inquiries related to the Content parties the Content Any civil lawsuits, criminal charges, or administrative proceedings initiated by third Any cease and desist letters, legal notices, or demands from third parties regarding The Creator's indemnication obligation covers all costs, damages, settlements, judgments, and legal expenses, whether incurred in defense or settlement. 4.3 Content Removal & Modication The Creator shall promptly take down, modify, remove, or replace any Content upon notication that it: Violates third-party intellectual property or privacy rights Violates applicable law or regulatory requirements Breaches any representation or warranty in this Agreement Exposes the Platform to legal, regulatory, or nancial liability Failure to comply with removal requests within 24 hours shall result in immediate account suspension and permanent content deletion. 5. PLATFORM'S LIMITED LIABILITY & NO RESPONSIBILITY CLAUSE 5.1 Platform's Complete Disclaimer of Liability Shaniverse Innovations Private Limited and Kings Live Platform expressly and absolutely disclaim all liability and responsibility for: The accuracy, authenticity, originality, legality, or moral integrity of any Content created or uploaded by the Creator The Creator's compliance with applicable laws, regulations, or third-party intellectual property rights Any claims, damages, liabilities, or legal action arising from the Creator's Content Any intellectual property infringement claims, copyright disputes, or trademark violations Any defamatory, libelous, slanderous, obscene, oensive, hateful, or unlawful statements in the Content Any privacy violations, data protection breaches, or unauthorized disclosure of personal information Any regulatory actions, government nes, or sanctions resulting from Creator's Content Any reputational harm, loss of subscribers, or commercial losses resulting from Content Any third-party litigation costs or settlements Verication, moderation, or pre-screening of Content before publication 5.2 Platform Acts Solely as Distribution Channel The Creator acknowledges and agrees that: Kings Live Platform acts solely as a neutral distribution and hosting channel The Platform does NOT endorse, approve, verify, or validate any Content The Platform does NOT conduct editorial review or fact-checking of Content The Platform does NOT guarantee the legality of any Content The Platform is NOT responsible for content moderation beyond its published Community Guidelines The Platform's moderation team reviews content for policy violations only, NOT for legal compliance The Platform is NOT liable for delayed removal or continued visibility of non- compliant Content The Creator bears 100% responsibility for all legal, nancial, and regulatory consequences of their Content The Platform's role is strictly technical hosting and distribution—nothing more 5.3 No Verication or Due Diligence by Platform The Creator explicitly acknowledges that: Shaniverse Innovations Private Limited does NOT verify the authenticity or legality of any Content The Platform does NOT conduct copyright searches, trademark checks, or intellectual property audits The Platform does NOT investigate Creator claims or verify creator identity independently The Platform does NOT screen for potential third-party rights violations The Platform's acceptance of this NOC does NOT constitute verication or validation of Content legality 5.4 No Agency, Partnership, or Employment This Agreement does not establish: A partnership or joint venture between the Creator and Shaniverse Innovations Private Limited An agency relationship or legal authority for the Creator to represent the Platform An employment relationship or worker classication Any duciary duty or special obligation between the Parties The Creator is an independent content producer , fully responsible for all legal, tax, and regulatory obligations. 6. CONTENT COMPLIANCE & CREATOR'S WARRANTIES 6.1 Creator's Warranties Regarding Content The Creator warrants and certies that the Content: Is 100% original or properly licensed with valid documentation Does not infringe any copyright, trademark, patent, trade secret, design right, or moral right Does not contain copyrighted music without valid license from copyright holders Does not contain copyrighted lms, TV shows, theatrical performances, or other protected audiovisual works Does not contain third-party photography, artwork, graphics, or images without permission Does not include footage from news broadcasts, documentaries, or other copyrighted sources without clearance Does not contain deepfakes, AI-generated imitations, or unauthorized facial/vocal reproductions of real people Does not contain misinformation, false claims, or deliberately misleading statements designed to deceive Does not violate any laws including defamation laws, obscenity laws, hate speech laws, or incitement laws Does not promote, glorify, or provide instructions for illegal activities, violence, terrorism, or self-harm Does not contain hate speech, discrimination, or harassment based on race, religion, caste, gender , sexual orientation, or other protected characteristics Does not violate privacy rights or include personal information of individuals without consent Does not disclose condential information, trade secrets, or proprietary business information Does not violate publicity rights or right of attribution regarding any individual or public gure Does not make false medical, health, or scientic claims Does not make unsubstantiated nancial or investment claims Does not violate advertising standards or contain false advertising Is not subject to any third-party claims, disputes, litigation, or cease-and-desist notices Does not breach any condentiality agreements or non-disclosure agreements Complies with all Platform policies and Community Guidelines Complies with all applicable Indian laws and international laws where applicable 6.2 Creator's Pre-Upload Due Diligence The Creator certies that before uploading any Content to Kings Live Platform, they have independently: Conducted thorough copyright searches and ownership verication Conducted trademark searches to verify no trademark infringement Veried patent status for any patentable subject matter in the Content Obtained written licenses and permissions for all music, with visible links to licensing sources Obtained written permissions for all copyrighted visual materials, footage, and artwork Veried that all individuals appearing in the Content have granted written consent Veried that all individuals appearing in the Content are adults of sound mind with capacity to consent Obtained parental consent if any minors appear in the Content Conducted legal review to ensure compliance with all applicable laws Reviewed Content against Platform Community Guidelines Performed reasonable investigation to prevent infringement and legal violations Maintained documentation of all licenses, permissions, and consents Consulted legal counsel regarding content legality (where applicable) 6.3 Creator's Continuing Obligation The Creator acknowledges that this warranty is: Ongoing and continuous for the entire duration Content remains on the Platform Retroactive to the date of Content creation A condition precedent to Platform's continued hosting of the Content Breached if any third-party claim arises that contradicts any warranty 7. THIRD-PARTY CLAIMS & DISPUTE RESOLUTION 7.1 Procedure Upon Third-Party Claims In the event any third party les a claim, legal notice, copyright complaint, trademark notice, or legal action against Shaniverse Innovations Private Limited or Kings Live Platform regarding Content created by the Creator: The Creator shall immediately: Notify the Platform of the claim within 24 hours Assume full legal defense of the Platform at the Creator's sole expense Retain qualied legal counsel to defend the Platform Provide the Platform with regular updates on the legal matter Not settle, negotiate, or communicate with the claimant without Platform consent The Creator shall not: Settle any claim without the Platform's written consent Admit liability on behalf of the Platform Make public statements regarding the claim Delay response to legal notices The Platform shall: Cooperate with the Creator's legal defense at no cost to the Creator Provide necessary documents and information to the Creator's counsel Not be required to conduct independent investigation or verication Financial Responsibility: The Creator bears 100% of all legal fees, court costs, expert witness fees, and related expenses The Creator bears 100% of all damages, settlements, judgments, and payments to claimants The Creator bears 100% of any nes, penalties, or regulatory sanctions imposed 7.2 Content Removal for Legal Claims Shaniverse Innovations Private Limited reserves the right to immediately: Remove, suspend, or disable any Content upon receipt of a valid legal notice or cease-and-desist letter Remove Content upon receipt of a valid DMCA notice, copyright complaint, or trademark infringement notice Remove Content upon receipt of any regulatory action or government order Remove Content when the Platform has reasonable belief that Content violates third- party rights or applicable law Suspend the Creator's account if Content removal does not resolve the claim Permanently delete Content at the Platform's discretion Removal does NOT: Terminate the Creator's indemnication obligations Waive the Creator's liability for past legal claims Limit the Creator's continuing liability for damages or settlements 8. LIMITATION OF LIABILITY & RELEASE 8.1 Creator's Complete Release The Creator absolutely and irrevocably releases Shaniverse Innovations Private Limited and Kings Live Platform from all liability related to: The Platform's decision to host, distribute, suspend, or remove any Content The timing of Content removal or delays in moderation Any revenue loss, subscriber loss, or commercial losses from Content removal or suspension Any technical issues, server downtime, platform outages, or service interruptions Any third-party disputes regarding Content rights or ownership Any platform modications, policy changes, or feature updates Any advertiser decisions to withdraw or reduce advertising spend Any subscriber churn or cancellations related to Content Any disputes between the Creator and third parties Any hacking, data breaches, or unauthorized access to Creator's account 8.2 No Warranties by Platform Shaniverse Innovations Private Limited and Kings Live Platform provide absolutely NO warranties regarding: The Platform's ability to distribute Content globally or to any specic geographic region The Platform's ability to prevent copyright infringement claims or third-party challenges The marketability, protability, or commercial viability of the Creator's Content The Platform's compliance with laws outside its published policies The Platform's technical infrastructure, uptime, or reliability Future availability of the Platform or continued support for the Creator Earnings, revenue, or monetization potential from Content Growth in subscribers, followers, or audience engagement 9. TERMINATION & CONSEQUENCES 9.1 Platform's Right to Terminate Immediately Shaniverse Innovations Private Limited may immediately terminate this Agreement and suspend the Creator's account without notice if: The Creator uploads Content that violates third-party rights or applicable law The Creator breaches any representation, warranty, or obligation in this Agreement A third-party claim, legal action, or government inquiry is led against the Platform regarding the Creator's Content The Creator fails to indemnify the Platform for any legal costs or damages arising from their Content The Creator makes false statements or misrepresentations regarding Content ownership The Creator fails to remove Content within 24 hours of receiving a takedown notice Any regulatory body orders the Platform to remove Content The Creator engages in repeat violations of Platform policies The Creator harasses, threatens, or brings disrepute to the Platform 9.2 Consequences of Termination or Account Suspension Upon termination or suspension: All Content associated with the Creator may be permanently removed or archived The Creator immediately loses all access to the Platform The Creator forfeits all pending revenue share, payments, or compensation The Creator forfeits all historical revenue from removed Content The Creator's indemnication obligations continue indenitely The Creator remains liable for all past, present, and future legal claims related to their Content The Creator remains liable for all damages and settlements even after account closure The Platform may publicly disclose the reason for termination if legally required or permitted The Creator's name and account may be included in a global creator blacklist shared with industry partners 9.3 Creator's Limited Right to Terminate The Creator may terminate this Agreement by providing 30 days' written notice. Upon termination: No new Content may be uploaded after the notice period Existing Content remains on the Platform unless Creator specically requests removal Creator's indemnication obligations continue for all Content remaining on the Platform Creator remains liable for all claims related to previously uploaded Content 10. CONFIDENTIALITY & NON-DISCLOSURE The Creator agrees to maintain strict condentiality regarding: Shaniverse Innovations Private Limited's proprietary algorithms, analytics, and business methods The Platform's technical infrastructure, source code, and internal systems Other creators' content, performance data, and personal information Revenue sharing models, payment terms, or nancial information shared by the Platform Any non-public information, trade secrets, or strategic information shared by the Platform This obligation: Survives termination of this Agreement indenitely Applies during and after the Creator's association with the Platform Does not prevent the Creator from publicly stating they use the Platform Exceptions: Information required by court order or legal subpoena Information already public or independently developed Information disclosed to the Creator's authorized representatives under condentiality agreements 11. GOVERNING LAW & JURISDICTION This Agreement shall be governed by and construed in accordance with the laws of India, specically the laws of Maharashtra where the Platform is registered All disputes arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra The Creator irrevocably waives any objection to jurisdiction, venue, or inconvenient forum Both Parties consent to binding arbitration under the Indian Arbitration and Conciliation Act, 1996 as an alternative dispute resolution method Arbitration shall be conducted by a single arbitrator mutually appointed by the Parties The place of arbitration shall be Pune, Maharashtra, India The language of arbitration shall be English or Hindi The arbitrator's award shall be binding and enforceable in any court of competent jurisdiction 12. SEVERABILITY & ENTIRE AGREEMENT 12.1 Severability If any provision of this Agreement is found to be invalid, unenforceable, or violative of applicable law by a court of competent jurisdiction: The remaining provisions shall continue in full force and eect The invalid provision shall be reformed to the minimum extent necessary to make it enforceable The Parties' intent shall be preserved as closely as possible No severance shall diminish the Platform's liability protections or the Creator's indemnication obligations 12.2 Entire Agreement This Agreement constitutes the complete and entire agreement between the Parties and supersedes all prior: Understandings, negotiations, and discussions Written or oral agreements Prior versions or drafts of agreements Any representations or warranties not explicitly stated herein No modication, amendment, or waiver of any provision is valid unless made in writing and signed by authorized representatives of both Parties. 13. AMENDMENTS & UPDATES TO TERMS Shaniverse Innovations Private Limited reserves the right to amend, modify, or update this Agreement at any time: Amendments shall be eective upon posting to the Platform website The Platform shall provide 30 days' written notice of material amendments Continued use of the Platform after the notice period constitutes acceptance of amended terms The Creator may terminate this Agreement if they do not accept material amendments All Content uploaded after amendment becomes eective shall be subject to amended terms Previously uploaded Content remains subject to the terms in eect when uploaded (provided no new claims arise) 14. ACKNOWLEDGMENT & ACCEPTANCE The Creator hereby acknowledges, certies, and conrms that: They have read this entire Agreement in full and understand all terms They have had adequate opportunity to consult with legal counsel of their choice They voluntarily and knowingly accept all terms, conditions, and obligations They fully understand the legal consequences and liability exposure They understand that they take full responsibility for all Content and its legal consequences They understand that Shaniverse Innovations Private Limited and Kings Live Platform are NOT responsible for Content legality, authenticity, or third-party claims They understand that their indemnication obligation is binding and enforceable They understand that breach of any warranty may result in immediate account termination They understand that third-party claims will be entirely their responsibility and expense They have veried that they own or have proper authorization for all Content They enter into this Agreement freely and without duress or pressure They are of legal age and have legal capacity to enter into binding agreements SIGNATURE SECTION & DIGITAL ACCEPTANCE By executing this No Objection Certicate and Content Ownership Agreement through the Kings Live Landing Page, the Creator hereby certies under penalty of perjury that all representations, warranties, and certications are true, accurate, complete, and made with full knowledge of their legal signicance and consequences. Digital Acceptance (Landing Page Process) The Creator's digital acceptance on the Kings Live Landing Page constitutes a valid legal signature and binding agreement equivalent to physical signature.
